It's light in terms of the resources required to have a pleasant experience.  It does have an Ubuntu LTS base, so I don't know for sure what you mean by that part.  You get the same Linux everyone else does, but with a very customizable lightweight desktop environment.  It also includes a tasteful amount of pre-installed software with the option to easily install more.  It's light in terms of the time required to get it running and keeping it maintained.

Hello,

I currently have Ubuntu loaded on a desktop with modest resources (dont want to spend alot of money).
I do have a memory upgrade on the way ..

Am considering a "liter" version... I have to ask.

What makes Linux lite, well, lite compared to lets say a Ubunto LTS distro ?
